What Is Business Setup in the UAE?

Business setup in the UAE is the legal process of registering a company with a licensing authority, either an emirate's Department of Economic Development or a free zone authority, and obtaining the trade license that permits it to conduct approved commercial activities.

The licensing authority defines what your company legally is: it approves your business activities, issues the trade license, and registers your legal structure. Company formation, business registration, and company incorporation all describe this same process. Three elements exist in every UAE setup: an approved activity from the authority's activity list, a licensed legal structure (such as an LLC or sole establishment), and the trade license document itself, renewed annually.

The UAE offers three jurisdiction paths for this process, mainland, free zone, and offshore, and the right choice shapes everything that follows.

A UAE company is legally created the moment the licensing authority issues the trade license. Every step before that is preparation; every step after is operations, banking and visas.

What Are the 8 Steps to Start a Business in the UAE?

A free zone setup completes these steps in about 1–7 working days; mainland takes 1–5 working days.

    01
    Choose your activity

Your activity determines the license type and approvals required.

    02
    Select the jurisdiction

Mainland, free zone, or offshore, by market access, cost, and ownership.

    03
    Reserve the trade name

Checked against UAE naming rules and reserved.

    04
    Obtain initial approval

The authority confirms no objection to your company.

    05
    Prepare MOA & documents

Shareholder documents signed; notarized for mainland.

    06
    Secure office / flexi-desk

Mainland registers Ejari; free zones offer a flexi-desk.

    07
    Pay fees, receive license

Your trade license is issued; your company exists.

    08
    Visas & bank account

Residence visas, Emirates ID, and banking complete the launch.

The exact sequence varies by authority, and the UAE company formation process guide explains each stage in detail.

    Jurisdictions

Should You Choose Mainland, Free Zone or Offshore?

The 3 options differ on 5 factors: ownership, market access, office, visas and cost.

    1

    Market access

Selling inside the UAE points to mainland; selling abroad or B2B services fit a free zone.

    2

    Ownership

100% foreign ownership is now standard across all three, but activity-specific rules still apply on the mainland.

    3

    Office & address

Mainland requires an Ejari-registered office; free zones accept a flexi-desk; offshore has no office at all.

    4

    Visa count

Mainland visas scale with office size; free zone packages carry 0 to 6+ visas; offshore issues none.

    5

    Cost

Free zones start from AED 5,750 in fees; mainland from AED 10,000; offshore from AED 8,000 with no visas.

    Free Zone
    from AED 5,750 govt fees

Licensed by one of 40+ zone authorities (IFZA, SHAMS, DMCC…). 100% ownership always, flexi-desk accepted, lowest entry cost. Mainland trade needs a distributor or branch.

    Free zone company setup →

    Mainland

    from AED 10,000 govt fees

Licensed by the emirate's DED. Trade anywhere in the UAE and internationally, government contracts, visas scaling with office. Requires an Ejari-registered office.

    Mainland company setup →

    Offshore

    from AED 8,000

Non-resident entity (RAK ICC, JAFZA Offshore) for holding assets, shares, or IP. No UAE trading, no residence visas, international structuring only.

    Licenses

Which Trade License Do You Need?

UAE trade licenses fall into six main types, listed by how commonly founders need them.

    • Commercial license, trading and selling goods; the most common type.
    • Professional license, services and consultancy; the foreigner-friendly route to 100%-owned service businesses.
    • General trading license, multiple unrelated product categories under one license.
    • E-commerce license, online selling, marketplaces, digital storefronts.
    • Industrial license, manufacturing, processing, and assembly.
    • Freelance permit, individual professionals under their own name.

Your activity code determines the license. Choosing the wrong activity is one of the most expensive mistakes. See the trade license types guide.

How Much Does It Cost to Start a Business in the UAE?

Starting a business in the UAE costs from AED 5,750–13,900 in government license fees for a free zone company, and AED 10,000–25,000 for a Dubai mainland license, with realistic first-year totals of AED 15,000–35,000 (free zone) and AED 40,000–80,000 (mainland) once visas and office are included.

Is the cheapest setup always the best value?

No, the cheapest setup is not always the best value. A low-cost license in a budget zone can cost more overall once several visas, banking friction, or a needed Dubai address are added, so the right measure is the all-in first-year cost for your activity and visa count, not the headline license fee.

    Emirates

In Which Emirate Should You Set Up?

All seven emirates license companies, each with a distinct profile. The rule: if your clients are in Dubai, license in Dubai; if you serve remotely, a Northern Emirates free zone can halve your setup cost.

    Paperwork

    What Documents Are Required?

The standard document set for UAE company formation, most of it can be prepared before you arrive.

Passport copiesAll shareholders & managers, valid 6+ months.
Visa / entry stampCurrent UAE status, if inside the country.
NOCOnly if a shareholder holds a UAE employment visa.
MOAThe constitutional document; notarized for mainland.
    Application formsRegistration & name reservation.

After licensing, every company obtains a company stamp, still required by banks and government departments. See documents required and the MOA guide.

    Residency

What Visas Can You Get Through Your Company?

A UAE trade license is the sponsorship vehicle that makes owners and staff eligible for residence visas.

Investor / Partner VisaFor shareholders; typically 2 years, renewable. The founder's own residence route.
Employment VisasFor staff; the quota depends on your office type and package.
Family SponsorshipSponsor spouse, children, and parents subject to salary thresholds.
Golden Visa10-year residence for qualifying investors and entrepreneurs.

A flexi-desk free zone package typically carries 0–5 visa quotas; mainland quotas scale with office size. Every visa involves a medical test, Emirates ID biometrics, and status change. See UAE business visas and golden visa requirements.

    Timeline

How Long Does Business Setup Take?

A free zone company is typically licensed in 1–7 working days; a Dubai mainland company takes 1–5 working days. Residence visas take about 2 to 3 weeks per person after the license is issued.

    1–7
Free zone licenseWorking days, fully remote-capable for most zones.
    1–5
Mainland licenseWorking days once the trade name, approvals and Ejari are in place.

Three things extend timelines: activities needing external approvals (health, education, food), document attestation from abroad, and name-reservation rejections. A prepared application almost always hits the fast end of the range.

    Banking

How Do You Open a Business Bank Account in the UAE?

UAE banks require the trade license, shareholder passports and visas, the MOA, and, increasingly, a short business plan. Compliance (KYC) review is the slow step: expect 2 to 6 weeks at traditional banks, or days at digital banks such as Wio and Mashreq NEO BIZ for straightforward profiles.

Approval odds improve when your activity, invoices, and transaction countries are documented consistently. Compare banks in the UAE business banking guide; the Bizstart bank account assistance service prepares the file.

Which Government Entities Will You Deal With?

Six entities appear in almost every UAE company’s life. Free zone companies deal with fewer directly, the zone authority fronts most processes.

    MOHRELabour contracts & work permits

    Ownership

Can Foreigners Own 100% of a UAE Company?

Yes, foreigners can own 100% of UAE mainland and free zone companies in most activities.

The 2021 Commercial Companies Law amendment removed the old 51% local-partner requirement for mainland companies; only a short list of strategic-impact activities still requires Emirati participation. Free zones have always allowed full foreign ownership. For professionals, a professional license with a local service agent (who holds no equity) delivers 100% ownership of service businesses.

    Why Bizstart

Should You Hire a Business Setup Consultant?

Consider a consultant if your time matters more than the service fee, if your case has any complexity, foreign documents, multiple shareholders, activity approvals, or when the setup runs from abroad. A consultant's real value is error prevention and authority relationships: a rejected application costs more than assistance fees.

Bizstart Dubai manages formation end-to-end, jurisdiction advice, licensing, visas, and PRO services, with government fees always shown separately from the Bizstart service fee. One dedicated consultant handles your file from first call to bank account.

    Avoid These

What Are the Common Mistakes When Starting a Business in the UAE?

Choosing the wrong activity code. Amendment fees and lost weeks; match the activity to what the company invoices.

Buying the cheapest zone without checking visa needs. Upgrading a 0-visa package mid-year costs more than starting right.

Budgeting the license but not the visas. Each visa adds AED 4,000–6,000 all-in; three visas can exceed the license.

Skipping the NOC check. UAE-employed shareholders need employer NOCs; discovering this at submission stalls everything.

Underestimating bank compliance. Weak documentation is the #1 cause of banking delays; open the file early.

Missing renewal deadlines. Fines accrue and visas freeze. Diarize renewal 60 days out; see license renewal deadlines.

Treating free zone as mainland. Selling directly into the mainland without a distributor or branch risks penalties.

    Frequently Asked Questions

Can I start a UAE business without visiting the country?

Yes, most free zones complete licensing fully remotely with attested passport copies, and your residence visa can follow on your first visit.

The company registration, trade name reservation, initial approval and license issuance can all be handled by your consultant with a power of attorney or e-signatures. Founders typically enter the UAE once, for your visa medical, Emirates ID biometrics, and (for some banks) an in-person account interview. Mainland setups more often require one in-person stage, but a POA can cover most of it.

What is the minimum investment to start a business in Dubai?

There is no mandatory minimum share capital for most UAE license types, the practical entry point is your first-year cost.

A 0-visa free zone company can start from roughly AED 8,600 all-in, while a mainland setup with an office and one visa usually begins around AED 40,000. The actual investment depends on your jurisdiction, number of visas, office type, and activity, not a fixed capital requirement. A handful of specific activities (certain financial or industrial ones) do set capital thresholds, but most do not.

Do I need a local sponsor in 2026?

No, since the 2021 ownership reform, most mainland activities allow 100% foreign ownership with no local sponsor.

The old rule requiring a 51% Emirati partner was removed for the large majority of commercial and industrial activities. Professional licenses use a local service agent (LSA) who holds no shares and no profit, purely an administrative role. Only a short "strategic impact" list (some security, defense, and resource activities) still requires Emirati participation. For nearly every founder, full foreign ownership is now the default.

Can I change jurisdiction later, free zone to mainland?

Yes, converting a free zone company to mainland is a routine, planned process.

The conversion means obtaining a new mainland license from the DED, re-approving your activities, and migrating your visas to the new establishment; the original free zone entity is then amended or closed. Founders usually convert when they start selling directly to the UAE local market. The conversion works best when planned, with visa timing and license overlap managed. Bizstart handles conversions end to end.

What happens if I miss my license renewal?

Fines accrue monthly, the license can be suspended, and any linked residence visas freeze with it.

An expired trade license stops you from operating legally, invoicing, or renewing staff visas, and repeated non-renewal can lead to blacklisting of the company and its shareholders. Authorities send reminders, but the deadline responsibility sits with the company. The fix is simple prevention: diarize renewal 60 days before expiry, or use a renewal service that tracks it for you.

Can one person own multiple licenses?

Yes, there is no limit on how many companies or licenses an individual can hold across free zones and the mainland.

Each license is a separate legal entity with its own fees, renewals, and (where applicable) office and visa requirements, so the practical limit is cost and administration, not law. Many founders run one holding-style structure plus separate operating licenses for distinct activities. For related activities, adding activities to one license often costs less than opening several.

    Is a physical office mandatory?

For mainland companies, yes, an Ejari-registered office is required; for free zone companies, no, a flexi-desk satisfies the requirement in most zones.

Mainland licensing is tied to a real tenancy contract, and your visa quota scales with the office's size. Free zones instead offer flexi-desk or shared-workspace packages that meet the legal address requirement at a fraction of the cost, one of the main reasons free zones are cheaper to enter. Companies that need more visas later upgrade to a dedicated office.

How soon can I hire employees?

Immediately after your license is issued, within your visa quota.

Each hire needs a work permit, an employment visa, a medical test, and an Emirates ID, allow roughly 2–3 weeks per employee end-to-end. Your quota is set by your office type (mainland) or package (free zone), and can be increased later. Mainland hiring involves MOHRE employment contracts and, for some roles, Wage Protection System (WPS) enrolment.

Can I upgrade my visa quota later?

Yes, both free zones and mainland allow you to raise your visa quota after setup.

Free zones sell quota upgrades tied to your package or a larger flexi-desk/office; mainland quotas rise when you lease more office space. Upgrading at the point of hiring is almost always cheaper than over-buying a large package on day one, so starting lean and scaling the quota with each hire usually costs less.

Do I need an accountant from day one?

Bookkeeping: yes, from day one, UAE corporate tax filing requires proper financial records. Audit: it depends on your jurisdiction.

Since corporate tax applies to profit above AED 375,000, every company must keep accurate books to calculate and file it, even if the expected tax is zero. Many free zones require annual audited accounts to maintain the license and qualifying-income status, while mainland audit requirements vary by structure. Starting clean bookkeeping immediately is far cheaper than reconstructing a year later.
